Financial Statements for the fiscal year 2024, dividend etc

The AGM approved the income statement and balance sheet for the parent company and the Group for the fiscal year 2024. It was resolved that a dividend of SEK 9 per share and an extra dividend of SEK 3 per share would be distributed. The record date for the dividend was set for April 2, 2025, and the dividend is expected to be paid out on April 7, 2025.

Board of Directors, auditor and fees

The AGM granted discharge from liability to the Board members and the CEO.

It was decided that the Board of Directors shall consist of nine members. Fredrik Lundberg, Alice Kempe, Louise Lindh, Ulf Lundahl, Fredrik Persson, Henrik Sjölund, Henriette Zeuchner, and Carina Åkerström were re-elected. Stefan Widing was elected as a new Board member, replacing Lars Josefsson, who had declined re-election. Fredrik Lundberg was re-elected as Chairman of the Board.

The total remuneration for the Board was set at SEK 4,095,000, distributed as follows:

  • SEK 910,000 for the Chairman of the Board

  • SEK 455,000 for each other Board member elected by the AGM who is not employed by Holmen

PricewaterhouseCoopers AB (PwC) was re-elected as the company's auditor for a one-year term. The auditor’s fee will be paid according to an approved invoice.

Other business

The Annual General Meeting also approved the remuneration report presented, the Board of Directors' proposal for a resolution on the implementation of a share savings plan for senior executives and hedging measures in connection with the share savings plan. The Board of Directors' proposal to authorize the acquisition and transfer of own shares was approved by the Annual General Meeting.
